Wowzza provides a social network to our members, this social network is focused on the Network Marketing Industry.

The Wowzza professional social network is a private, members only social network, all members are required to pay our monthly fee and abide by our terms and privacy policy.

Specific Terms & Conditions for use of the social network are located on Wowzza.com

These Terms & Conditions are specific to the Network Marketing arm of Wowzza, WowzzaPower, which is owned by Wowzza.

The names Wowzza and WowzzaPower are used interchangeably in this document.

By becoming a member of WowzzaPower and paying the monthly fee, you give your full agreement to these terms and conditions, do not "upgrade" your account and pay for our service if you do not agree completely.

The social network service is provided at a cost of $32.95USD per month. You agree to pay this monthly fee in order to maintain active member status. This monthly fee can be paid by credit card, AlertPay or GlobalXchange, it is your responsibility to keep your payment information up to date and accurate.

Any member who fails to keep an active membership payment will be removed from Wowzza and WowzzaPower. Wowzza is not responsible to send reminders or warnings, although may do so at our own discretion.

You can cancel at anytime by clicking the cancel link in your WowzzaPower members area or submitting a cancellation to our Help Desk.

You are entitled to a full refund within 10 days of your original sign up date, monthly recurring fees are non-refundable, you agree to cancel within 3 days of your billing date to allow us time to cancel you before you are billed again.

WowzzaPower is the Marketing System, Members Area, Compensation Plan Manager and Communications System for Wowzza.

You agree to keep your personal contact information up to date, this includes, eMail, phone and mailing address. WowzzaPower is not responsible for not being able to communicate with you because of inaccurate contact information.

WowzzaPower is also not liable for not being able to communicate with you because of your ISP or Internet eMail Service Provider blocking communication from WowzzaPower.com

You understand that WowzzaPower is a Network Marketing Business, your involvement in WowzzaPower does not automatically qualify you to receive any income, WowzzaPower does not provide profit sharing, ad revenue sharing or any income guarantees.

WowzzaPower pays commissions on personal sales and group volume sales of our Social Network only. No commissions are paid for the simple act of recruiting members into the business, every member purchases our service and commissions are paid on that sale.

Commissions are calculated using a 9 level affiliate program, which can be seen in detail on the Income.php page of the WowzzaPower.com web site.

$17 of every $32.95 sale is paid out in monthly commissions except for the first month of membership where $15 in direct sales commissions is paid to the member who created the sale. This direct sales commission is paid one time.

Commissions are paid on or about the 15th of every month for the previous months sales volume. Direct sales commissions are paid on a weekly basis (Tue/Wed) and are kept at a 2 week delay to account for our 10 day refund policy.

You agree to the fact that WowzzaPower will do everything necessary to ensure commissions are on time and accurate, however, banking and Internet issues may arise from time to time which prevent this from happening.

Any issues in regards to commissions, software failures, web site interruptions, banking delays and all other issues will be solved as quickly and efficiently as possible.

You agree to your full understanding that earning an income with WowzzaPower will be based on your efforts to build your business, as with any Network Marketing business, no income claims are expressed or implied, you may or may not earn any income.

Commissions are calculated using a 9 level affiliate structure. Our 9 level affiliate structure is based on a 3x9 forced matrix format. Please view the Income.php page of the WowzzaPower.com web site for details.

WowzzaPower does not provide profit sharing, ad revenue sharing or any other type of "Passive" income opportunity and is not an investment program. You should only sign up for WowzzaPower if you are interested in using our service, the Wowzza Professional Social Network.

Commissions will be held and rolled over until they reach $15 USD. No commissions under that amount will be paid out to a member and will be rolled over to the next month.

Canceling an account gives up any commissions due. Only active members in good standing are paid commissions on earnings.

Commissions are paid through GlobalXchange, an international payment processor. It is the members responsibility to supply WowzzaPower with an eMail address to use for sending of their commission information through GlobalXchange. Details on GlobalXchange are provided to all members in our private members area.

Building a business with Wowzza is completely optional; you may sign up just for the Social Network at a retail cost of $59.95 a month. To become a member of our social network without becoming involved in our Network Marketing business opportunity, simply send an eMail to admin@wowzza.com and we will send you to the correct web page.

You agree to help, support and provide any training necessary to those that you personally enroll and to those in your immediate organization. WowzzaPower will provide the necessary elements to ensure you are able to do this. It is your responsibility to read the main web site, read the members area information, watch the movies and listen to the audios that are provided to all members to ensure their full understanding of Wowzza and WowzzaPower.

You agree that you are not an employee of Wowzza or WowzzaPower. You are an independent contractor and are responsible for your own business accounting and taxes in your place of residence.

US residents are required to submit a W-2 form to WowzzaPower in order to receive commissions.

Only one membership per Tax ID number is allowed at WowzzaPower.

Members must be over 18 years of age.

You may request to transfer your membership to another person, this request must be in writing by all parties involved and sent to, admin@wowzzapower.com, we reserve the right to follow up with all parties involved by phone or eMail.

You may also Will your membership to anyone you desire, so long as they meet our age requirements.

Sponsorship changes. Sponsorship changes are only allowed if all 3 members involved agree to the change. Any member that cancels can sign up again at anytime under the same sponsor, however, they must wait 6 months to sign up again under a different sponsor.

Compression; you understand that compression is a necessary event when using a forced matrix structure and that in some situations, your organization may change due to compression of unpaid memberships. You will never lose a personally sponsored member due to compression but could lose someone that was sponsored by a member above you in the matrix structure.

You agree to read all content on WowzzaPower and the WowzzaPower members area, you also agree to watch any training movies or audios and to read the company updates communications. It is your responsibility to use the tools available to gain a complete understanding of the business and service that you have decided to participate in.

You agree not to make any income claims or promises when representing Wowzza and WowzzaPower.

Check Waiving, Income Claims, Promises of "Spillover", Promises to Build Someone's business, providing false or misleading information, guaranteeing an income will be grounds for removal from WowzzaPower and Wowzza.

You agree to hold yourself to a professional and respectful standard when representing WowzzaPower and Wowzza, when interacting with other WowzzaPower and Wowzza members and when interacting with WowzzaPower and Wowzza Staff. Any abuse, threats, disrespectful and unprofessional behavior will be grounds for removal from Wowzza and WowzzaPower.

You agree to hold harmless Wowzza for any mis-representations made by a member, Wowzza cannot control what every member promises or guarantees and is not responsible for their actions. Only the information located at WowzzaPower.com and Wowzza.com should be considered accurate and true information, if you have any questions or do not understand something, it is your responsibility to ask the company.

SPAM, BULK MAIL, NEWS GROUPS and SECURED FORUMS POSTINGS

The transmission of unsolicited or prohibited advertising or other content through electronic mail or inappropriate Usenet postings WITH ANY REFERENCE TO This website including any of the domains used by Wowzza is forbidden. The use of AND/OR reference to or any of our clients in connection with , services for unsolicited mass mailings or postings (commonly known as "Spam") by any member will cause that member's services to be terminated immediately without warning and without a refund.

Further, the member will be immediately charged a minimum of $500 to cover damages caused by such breach and held legally responsible for the damages to both monetary and in reputation.

FURTHER MORE, FOR ALL TIME SPENT BY STAFF ON HANDLING A BREACH OF THIS POLICY CONCERNING VALIDATED SPAM, A MINIMUM OF $500 WILL BE PAID BY THE VIOLATING MEMBER for the time needed to handle complaints and other items related to the breach of this policy. The USE OF ANY OTHER service to make such a mailing or posting, with any reference to services (including but not limited to mailboxes, E-Mail, autoresponders, and Web pages), shall also be grounds for member termination and damages as described above Furthermore, we will serve on the offending party an immediate lawsuit in the amount of $5,000 for damages caused by this breach and we will take immediate action in the courts jurisdiction in Cuyahoga County, OH

UNSOLICITED and HARVESTING

Unsolicited email is any electronic message sent via email to an email address the sender has not received a specific request for. The sender of any commercial solicitation must have on record copies of each recipients request for such an email. These requests must be addressed to the sender and be specific. We do not accept a general request for information from a forum or post unless the response is on an individual basis and is a singular (not bulk-more than one) email in response. Requests that are received from submission services such as FFA sites, Classifieds only apply if the message sent out is part of the automated responder.

We do not accept these responses as valid if they have been downloaded from an FFA or like service to the individuals computer and gathered into a new database. Harvesting is also prohibited with our service. If you use a harvested list from any other site and send email to this list you are in violation of our anti spamming policies. Harvesting from our websites is strictly forbidden and is considered theft of our proprietary property. If you do it and we discover it, we will prosecute you. DO NOT DO IT!

NEWS GROUPS and SECURED FORUMS POSTINGS

Spamming also refers to posting messages to News Groups that do not relate to that group and / or multi posts to a News Group or for that matter posting in rapid succession to any type of posting facility. also strictly prohibits posting solicitations about and specifically pointing to our systems via URL's on any type of secured, password protected and / or subscription type of forum, posting and or boards. If we detect these type of postings are being made by you, we will immediately suspend your site for a period of 48 hours. DO NOT DO IT!

This is our first and most stringently enforced policy. The practices described here can permanently destroy an online reputation overnight, and easily taints any organization associated with the guilty party. Further, complaints from people being spammed sent to our Internet Connection Provider might cause the loss of that Internet connection and the connection of other systems. We will not tolerate these abuses. If you plan to use Bulk Mail DO NOT purchase or request services from Wowzza.

ADULT CONTENT

Adult-oriented sites, designed for entertainment or commercial purposes, are not allowed on Wowzza, or any of our services. We will not develop or host such sites or allow such post or uploads. Forbidden sites include but are not limited to those that provide access to pornographic materials, whether for free or for payment, regardless of whether adult verification is used or not. As of 01/01/98 adult content is further defined as any material that is not "family viewable" or other material as determined as "adult-orientated" by Wowzza .

SUSPENSION OF SERVICE

We reserve the right to suspend or terminate a user's account for violation of these terms and/or reasonable cause. Any account terminated for breach of this policy will not receive a refund.

Some examples of what may result in account termination: Violation of the policy on spam and/or unsolicited mail already mentioned above. Breaching, or attempting to breach security on any system or network without the written authorization of those responsible for said system or network.

Forging Web Pages, E-mail or news articles. That is, attempting to make pages, articles or E-mail appear to come from someone or somewhere they do not. Propagating chain letters via E-mail, Usenet news, or other Internet services that refer in any way to a service. These letters are usually along the lines of "pass this on to receive good luck," or "send these five people a dollar in order to make thousands."

Extreme violations of netiquette. The Internet is frequently described as the last forum for free speech. People regularly clash loudly over such matters as race, religion, sexual preference, and political standing. It is difficult to be on the Net for any length of time without being offended by someone. It is also quite possible to do the offending. We will investigate any complaints we receive, either by our members or others, but action will NOT be warranted if the disruption does not directly relate to Wowzza services.

If a user's presence on our systems jeopardizes our primary purpose, becoming a resource to the Network Marketing Industry, we may suspend or terminate that user's account.

"Bouncing Back" email from Wowzza.com or WowzzaPower.com, using an autoresponder or automated reply to bounce back messages to our servers.

Posting of any material that is or could be considered illegal. This includes but is not limited to information promoting hate groups, slander, posting copyrighted material, or intentional posting of incorrect information.

WowzzaPower reserves the right to issue a warning in lieu of terminating or suspending an account but this will be on an individual case and does not wave further breaches of this policy.

WowzzaPower reserves the right to update and/or modify this policy as it sees fit. If you do not agree to the terms of this policy do not request services from Wowzza. Any person, company or entity requesting services from Wowzza/WowzzaPower is stating total compliance and acceptance of this policy.

Further, any person, company or entity requesting services from either directly or through a 3rd party agrees to indemnify and hold harmless Wowzza, WowzzaPower or any of its agents, employees, officers or principals in any legal action that arises as a result of use of services, without limitation or exception. This indemnification extends to all issues associated with all services or products.

All copyrightable works are the exclusive property of Wowzza. Member maintains a license to use copyrightable works for publishing on the Internet as long as member remains a client in good standing utilizing services.

You agree not to hold responsible for any loss suffered as a result of using the Wowzza services, including but not limited to loss resulting from service delays and incomplete or interrupted service, regardless of cause.

You agree to adhere to system policies as published online by Wowzza , including restrictions on acceptable use and all other policies designed to protect and enhance the quality and reliability of all service. Wowzza reserves the right to modify or change such policies as needed. Any rights herein granted cannot be transferred, shared, sold or used by anyone other than the active member.

If any term in this agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then this agreement, including all the remaining terms will remain in full force and effect as if such invalid or unenforceable term had never been included. This agreement shall be construed and enforced in accordance with the laws of the State of Ohio and Cuyahoga County, Ohio will be the venue for any litigation in which or any of it's agents are named as defendants.

This agreement supersedes any written, electronic, or oral communication or agreement. All clients that request services from are also stating by their request complete compliance and agreement of all contained terms. Further more you agree that you indemnify for any or all issues that may arise from this relationship.

You agree to take all responsibility and risk involved in your involvement with subscribing to WowzzaPower and Wowzza. You agree that you are an adult person and are signing up for our business opportunity and to use our service of your own free will, you have not been coerced, mislead or "hyped" into participating and are responsible for your own business and business decisions.

WowzzaPower does not provide general Internet Marketing or Network Marketing training.

WowzzaPower does provide to all members a reasonable amount of marketing tools and specific training on our business model and product by way of written material, conferences, video and audio.

From time to time as available, Wowzza may have special guests that provide various information, expertise and knowledge to our membership. These individuals may decide to promote a particular product or service as fair compensation for their time. Wowzza will make every effort to ensure that the agreement is beneficial for all Wowzza members. These events are optional for all active Wowzza Members.

Wowzza reserves the right to offer other products or services at anytime without notice to our members. Wowzza will not recommend or endorse any other Network Marketing business opportunity, although it is possible that we may from time to time recommend or endorse a product or service that is provided by a Network Marketing company.

Wowzza reserves the right to sell advertising on Wowzza.com and WowzzaPower.com, this advertising will be seen by all members and web site visitors, you agree to accept this facet of the Wowzza business.

You agree to the possibility that Wowzza could stop functioning as a business entity at anytime, giving all members at least their full final payment value or refunds for their final month. Wowzza has every intention to be in business forever, but must concede to the possibility that as with any business, closing the business could happen. Should this happen, you agree to hold Wowzza and all company representatives harmless for any financial, emotional or credibility loss.
